Single-user perpetual license

  • One licensed user

This summary is provided for convenience. The complete Agreement below controls if the summary and Agreement differ.

End User License Agreement

This software ("AVIF Pro Web", including its standalone application and CEP extension) and accompanying documentation are licensed and not sold. The Software Product is protected by copyright laws and treaties, as well as laws and treaties related to other forms of intellectual property. Volodymyr Kubrin, an individual operating under the trade name KviselPix (the "Licensor"), owns intellectual property rights in the proprietary components of the Software Product. The Licensee's ("you" or "your") license to download, use, copy, or change the Software Product is subject to these rights and to all terms and conditions of this End User License Agreement (the "Agreement").

Acceptance

By installing, using, or copying the Software Product, you accept and agree to be bound by this Agreement. You must agree to all terms of this Agreement before installing or using the Software Product. If you do not agree, you must not install, use, or copy the Software Product.

License grant

Subject to a valid purchase and compliance with this Agreement, the Licensor grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, perpetual license to install the Software Product on up to two computers or user accounts that you own or control, provided that the Software Product is used by only one licensed user and is not used on both computers at the same time.

You may use the Software Product for lawful personal and commercial production work. Each additional user requires a separate license. You may also keep a reasonable number of backup copies solely for archival and reinstallation purposes.

Restrictions on transfer and use

Without the Licensor's prior written consent, you may not assign your rights or obligations under this Agreement, or redistribute, encumber, sell, rent, lease, lend, sublicense, share, or otherwise transfer the Software Product, its license key, or your rights to use it.

You may not permit use by more users or on more computers than your purchased license allows. Multiple-user, floating, render-only, or volume use requires the corresponding license arrangement.

You may not decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the proprietary components, except to the limited extent that applicable law expressly permits such activity notwithstanding this restriction.

Restrictions on alteration and copying

You may not modify the proprietary components, create derivative works from those components or the accompanying proprietary documentation, or alter proprietary files or libraries, except where applicable law expressly provides otherwise.

You may copy the Software Product only as reasonably necessary for licensed use, installation, temporary operation, and permitted archival backups.

Third-party components and open source

AVIF Pro Web interfaces with third-party and open-source tools, including FFmpeg and Gifsicle. Those components are licensed under their respective license terms. Nothing in this Agreement limits rights granted to you by an applicable third-party license. If this Agreement conflicts with a third-party license for that component, the third-party license controls for that component.

Disclaimer of warranties

Unless otherwise explicitly agreed in writing by the Licensor, the Software Product is provided "as is" and "as available". To the maximum extent permitted by applicable law, the Licensor disclaims all express, implied, statutory, or other warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Licensor does not warrant that the Software Product will meet your requirements, operate under your specific conditions, remain secure, error-free, or uninterrupted. You are responsible for determining whether the Software Product meets your requirements and for maintaining appropriate backups of your data.

Limitation of liability

To the maximum extent permitted by applicable law, the Licensor and its directors, officers, employees, or agents will not be liable for indirect, consequential, special, incidental, punitive, or exemplary damages, including loss of revenue, profits, business, or data, arising from this Agreement or the furnishing, performance, installation, or use of the Software Product, even if advised of the possibility of such damages.

Any exclusion or limitation that is not permitted in your jurisdiction applies only to the maximum extent permitted by applicable law. Nothing in this Agreement excludes liability that cannot lawfully be excluded or limited.

Limitation of remedies and damages

Any limited warranty applies only to defects arising under normal use and does not cover failure resulting from misuse, abuse, neglect, unauthorized alteration, improper installation, environmental conditions, electrical problems, or other causes outside the Licensor's reasonable control.

To the extent permitted by applicable law, you agree to indemnify and hold the Licensor harmless from third-party claims, judgments, liabilities, expenses, or costs arising from your material breach of this Agreement or unlawful use of the Software Product.

Governing law

This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-law provisions. Mandatory consumer protections and other rights that cannot be waived under applicable law remain unaffected.

Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force. Any restriction that is not permitted by applicable law will apply only to the maximum extent permitted.
